Selected  team members of Antarctica acted as exclusive advisors on the sale of a long-standing Pollock and Crab harvester and processor in the Alaska/Seattle area. The team recommended to the Board an appropriate valuation range and feasible transaction structure.  As part of the transaction management, the team identified potential buyers, managed an extensive due diligence process and negotiated an acceptable offer and related deal documentation, achieving successful closing. The team’s  participation resulted in a premium value to the client in spite of the difficult industry and financial environment.

Buy Side Advisory

Selected team members of Antarctica identified a unique downstream integration opportunity for a major industry player and approached the potential sellers with a creatively structured acquisition proposal.  The team provided specialized valuation services drawing from its experience in the target’s segment and negotiated an advantageous offer for its client.  As part of the transaction management, the team performed and coordinated the due diligence, negotiated with different stakeholders, advised and assisted in the preparation of the documentation and coordinated the closing of the transaction.  The team’s initiative and creative advice effectively pre-empted a competitive auction process, to the benefit of the client.

Capital Raise Advisory

Selected team members of Antarctica were called on by a client to advise on and structure a capital infusion for an overseas subsidiary of a North American seafood client facing a challenging operational and economic environment. The team identified a sophisticated and qualified investor group appropriate for the transaction and managed to close the transaction within a challenging 90-day deadline.  The team assisted in structuring the financing, advised in the pricing of the transaction and the negotiation of the related documentation, achieving a successful closing.

Debt Restructuring Advisory

Selected team members of Antarctica used their well-developed contact base in the financial community to advise and assist a client in a highly complex renegotiation of its existing debt with an international financial institution.  The team leveraged its industry knowledge to put together and successfully negotiate a more appropriate debt package that allowed the client to establish a more solid financial base to support its operations.
